5) GATE Member Bylaws

 

 

GATE: Bylaws of GATE Membership

 

  1. TRUST: Every GATE Member must agree to adhere to the following policies on trust:

    1. Trust Policy, including :

      1. Conflict of Interest Policy

      2. Ranking Policy

      3. Rating Policy

    2. Acceptable Use Policy

    3. Member Privacy & Confidentiality Policy

  2. GATE Members should expect honesty from other GATE Members. GATE promotes healthy competition and the entrepreneurial spirit and to that end GATE Management do not offer any oversight role in specific business transactions between GATE Members. GATE Members are free to make any legal business arrangement with other GATE Members at any time with or without the knowledge and monitoring of GATE Management, however all transactions GATE Members are subject to these policies at all times.

  3. TRUST Investigations: GATE Members agree to cooperate fully with GATE Management whenever a TRUST Investigation is conducted, furthermore GATE Members agree that GATE Management are the sole and final authority as to the type of investigation and the outcome of any Trust Investigation.

    1. GATE Members agree to abide to any outcomes of any Trust Investigation

    2. GATE Members understand that Trust Investigation Requests are not intended as a measure of satisfaction with another Member's work, rather they are a specific accusation that a member has breached one or more points within the Trust Policy.

    3. It is itself a Breach of Trust to falsely accuse another member of Breach of Trust.

  4. SANCTIONS: GATE Members agree that GATE Management have sole discretion as to any sanctions that might be laid as a result of a Trust Investigation. GATE Management will follow the published GATE Trust Investigation Policy which offers all GATE Members the opportunity to participate. Possible sanctions include:

    1. Redaction and / or removal of specific Ratings

    2. Retraction and / or public apology from one GATE Member to another

    3. Removal of certain access rights within the GATE Village online community

    4. Termination of GATE Membership as per the Termination clause in the GATE Membership Agreement.

  5. GATE Members agree that there are no other legal remedies available to them outside of GATE Management and the GATE Trust Investigation Policy. They forgo any rights they might have, including any issues of slander or liability, for any and all activity conducted within GATE Village

    1. GATE Management agree to stay impartial and fair-minded in all proceedings and primarily will rely upon auditing and monitoring logs from online activities of all interested parties.

    2. GATE Management and GATE Members agree that any results of any Trust Investigation are published for the eyes and use of GATE Members in Good Standing only. Trust Investigation reports and findings are specifically covered and count as
      confidential material and may not be divulged to any non-GATE Member or GATE Employee.

      1. What happens in GATE Village stays in GATE Village, GATE Management will aggressively prosecute any breach of the Member Privacy and Confidentiality Policy.

  6. GATE Members agree to conduct business within the GATE Village and with other GATE Members and GATE Clients with honesty and integrity at all times. GATE Members are forbidden from attempting to 'game the system' in any way in an attempt to gain an unfair advantage or to cause any direct harm to any GATE Members or GATE Clients.

  7. GATE Members agree that they must pay their dues in advance to remain in Good Standing and that a member not in Good Standing will see most of their access to GATE Village and to GATE Supplies and GATE Services curtailed. GATE Members who are in arrears for greater than 30 days will see their GATE Membership suspended until payment in full is received and if payment has not been received within 90 days the GATE Membership will be revoked and the GATE Village account will be removed.

    1. GATE SHARES: GATE Members understand that only GATE Members in Good Standing may redeem their Class B shares received when becoming a GATE Member.
